To enter Vocativ’s DarkNet Sweepstakes you must agree to the following Sweepstakes Rules and Agreement (“Official Rules”).  This is a legally binding contract between Vocativ and each Sweepstakes entrant.  Therefore, please read these Official Rules carefully.

Vocativ reserves the right, in its sole discretion, to disqualify any entrant from participation in the Sweepstakes should it deem that the entrant has violated these Official Rules.

Sweepstakes

The Sweepstakes is sponsored by Vocativ, a New York corporation having an address of:

462 7^TH Avenue
New York, NY 10018.

• Eligibility:  No purchase or payment is necessary to enter or win, and a purchase will not increase your chance of winning.  This Sweepstakes is void where prohibited by law.  To participate in the Sweepstakes, you must be 18 years or older and be a legal resident and citizen of the United States (excluding its territories).  The Sweepstakes is not open to any Vocativ officer, director or employee, nor an immediate family member of such individuals.
• Entry Period:  The Sweepstakes begins at 12:01 a.m. EST on April 17, 2017 and runs through 12:01 am EST on May 31, 2017 (“Entry Period”).  Entries submitted before or after the Entry Period will not be eligible.  The Sponsor is the official timekeeper for the Sweepstakes.
• How to Enter:  During Entry Period, you may enter the Sweepstakes by visiting the Sweepstakes site at http://giveaways.dojomojo.ninja/landing?promo_id=95e26e09-45d9-4830-9d6d-a841758b9733&campaign_id=1217 (the “Sweepstakes Site”) and completing the Sweepstakes entry form.  Absent “Bonus Entries” discussed below, there is a limit of one entry per person.  Additional entries from the same person, whether or not submitted under multiple email addresses, will not be acknowledged.  The use of an agency or any automated system, as well as the use of several email addresses per person, to enter is strictly prohibited.
• Bonus Entries:  Each person who submits an entry to the Sweepstakes will have opportunity to share a link to the Sweepstakes Site on Facebook and Twitter. The link will be tagged and associated with the person who shared the link (the “Sharer”).  For each person who clicks on a shared link and also submits an entry into the Sweepstakes, then the Sharer will receive three bonus entries.  Neither Facebook nor Twitter is a sponsor of the Sweepstakes, nor is the Sweepstakes otherwise associated with those entities.  The Sharer hereby holds harmless Twitter and Facebook.
• Alternative Method of Entry:  If you do not wish to enter the Sweepstakes through the Sweepstakes Site, you may enter by mailing your name and email address on postage prepaid post care addressed to: Vocativ, 462 7^th Ave 4^th Floor, NY NY 10018 Attn: Darkness Sweepstakes.  Entry must be postmarked before the end of the Entry Period, and received by the Sponsor by May 31st to be included in the drawing.  Any entries received outside of these time limits will not be considered. 
• Drawing:  After the Entry Period, on or about May 31, 2017, the Sponsor will select a single potential winner (the “Potential Winner”) in an electronic random drawing of all eligible entries received by the Sponsor.  The odds of being selected depend on the number of entries received. 

The Sponsor will notify by email the Potential Winner within five business days of the drawing.  The authorized account holder of the email address used to enter the Sweepstakes will be deemed to be the Potential Winner.  The authorized account holder is the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.

If the Potential Winner does not respond within seven business days after the notice is sent, the Sponsor will select via an electronic random drawing an alternate potential winner (the “Alternate”).  The Sponsor will notify by email the Alternate within five business days of the alternate drawing.  Should the Alternate not respond within seven business days after the notice is sent, the Sponsor will repeat this process two additional times.  Should no alternate respond, the prize will not be awarded.

Except where prohibited, a Potential Winner may be required to complete and return an affidavit of eligibility, a liability release, and a publicity release.  If a Potential Winner fails to sign and postmark these documents within ten business days of receipt, an alternate potential winner may be selected in his or her place in accordance with the electronic random drawing discussed herein.

• Prize:  After executing the required documentation, the Winner will receive [VR headset information] (“Prize”).  The approximate retail value of this Prize is $800.  The Winner is responsible for paying any applicable income taxes and any and all other costs and expenses not listed above.  No substitution, cash redemption or transfer the Prize is permitted except at the Sponsor’s sole discretion.  Arrangements for delivery of the Prize will be made after the Winner’s identity and eligibility is confirmed.  Acceptance of a prize constitutes permission for the Sponsor and any third party associated with the Sweepstakes to use the Winner’s name and likeness in advertising and other publicity in all media worldwide without further compensation or notice.
• Privacy and Use of Information Submitted; Publicity:  Any information you submit as part of the Sweepstakes will be used for purposes of this Sweepstakes and treated in accordance with the Sponsor’s Privacy Policy (http://www.vocativ.com/pages/legal), of which you acknowledge acceptance, and as otherwise set forth in these Official Rules.

Without derogating from the foregoing and as recognized in the Sponsor’s Privacy Policy, you agree that the Sponsor may use such information for general solicitation, marketing, or other business or promotional activities in connection with the services and products provided by the Sponsor.  In the event of any conflict between these Official Rules and the Sponsor’s Privacy Policy, these Official Rules shall take precedence with regard to the Sweepstakes. You agree that the Sponsor may transfer any such information to any third party associated with the Sweepstakes for such purposes. 

You may at any time revoke the use of such information by providing written notice to the Sponsor by sending an email to community@vocativ.com or by mailing the notice to Vocativ, 462 7^th Ave 4^th Floor, NY NY 10018 Attn: Darkness Sweepstakes.  Providing such notice will not affect your odds of winning the Sweepstakes.

• Indemnification:  YOU AGREE TO INDEMNIFY VOCATIV, ITS AFFILIATES, LICENSEES AND ASSIGNS AND THEIR RESPECTIVE SUBSIDIARIES AND AGENTS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES OR ANY OTHER PARTIES ENGAGED BY VOCATIV (“COVERED ENTITIES”) IN RELATION WITH THE SWEEPSTAKES, FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS AND LOSSES INCURRED IN CONNECTION WITH ANY THIRD PARTY CLAIM RELATING TO THESE OFFICIAL RULES IN ANY WAY OR OTHERWISE RESULTING FROM YOUR SWEEPSTAKES ENTRY, THE SUBMISSION OF YOUR ENTRY OR VOCATIV’S USE OF YOUR ENTRY.
• Limitation of Liability and Release:  BY SUBMITTING AN ENTRY, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF VOCATIV WHICH SHALL BE FINAL.  COVERED ENTITIES ARE NOT RESPONSIBLE FOR AND SHALL NOT BE LIABLE FOR:
• LATE, LOST, DELAYED, DAMAGED, MISDIRECTED, INCOMPLETE, ILLEGIBLE OR UNINTELLIGIBLE ENTRIES;
• TELEPHONE, ELECTRONIC, HARDWARE OR SOFTWARE PROGRAM, NETWORK, INTERNET, OR COMPUTER MALFUNCTIONS, FAILURES OR DIFFICULTIES;
• ERRORS IN TRANSMISSION;
• ANY CONDITION CAUSED BY EVENTS BEYOND THE CONTROL OF COVERED ENTITIES THAT MAY CAUSE THE SWEEPSTAKES TO BE DISRUPTED OR CORRUPTED;
• ANY INJURIES, LOSSES, OR DAMAGES OF ANY KIND CAUSED BY A PRIZE OR RESULTING FROM ACCEPTANCE, POSSESSION, OR USE OF A PRIZE, OR FROM PARTICIPATION IN THE SWEEPSTAKES OR PRODUCTION OF CONTENT; OR
• ANY PRINTING OR TYPOGRAPHICAL ERRORS IN ANY MATERIALS ASSOCIATED WITH THE SWEEPSTAKES.

BY ASSENTING TO THESE OFFICIAL RULES, YOU ACKNOWLEDGE THAT YOU ASSUME ANY RISK RELATING TO THE SWEEPSTAKES.  TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVERED ENTITIES HEREBY EXPRESSLY DISCLAIM:  ANY WARRANTIES, EXPRESS OR IMPLIED, UNDER THESE OFFICIAL RULES OR OTHERWISE RESULTING FROM THE SWEEPSTAKES AND/OR ANY WARRANTIES OF MERCHANTABILITY, TITLE, OR FITNESS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE COVERED ENTITIES FROM ANY CLAIMS OR DAMAGES YOU MAY HAVE ARISING OUT OF OR RELATING IN ANY WAY TO THESE OFFICIAL RULES OR OTHERWISE RESULTING FROM YOUR PARTICIPATION IN THE SWEEPSTAKES.

• Additional Terms:  Any claims arising out of or relating in any way to these Official Rules, your submission of an entry or Vocativ’s use of that entry, shall be governed by the laws of the State of New York, without giving effect to its principles of conflicts of law.

Any claims arising out of or relating in any way to these Official Rules, your submission of an entry or Vocativ’s use of that entry shall be brought only in the state or federal courts of New York, and you hereby consent to the jurisdiction of those courts.

If any provision of these Official Rules is held unenforceable, you agree that such provision shall be modified to the minimum extent necessary to render it enforceable.  To the extent the provision cannot be rendered enforceable, you further agree that the remainder of these Official Rules shall remain in force.
